
Sebastian is a senior associate and English-qualified solicitor. He has been based in Eastern Europe for several years. His experience includes advising on the aspects of a wide range of major cross-border corporate transactions and some of central and eastern Europe’s leading equity offerings and privatisations. Recent transactions in which he has been involved include advising:
- Morgan Stanley and ABN AMRO on the offering of US$250m of senior high yield notes by MHP, the leading Ukrainian chicken meat producer. The notes were listed on the London Stock Exchange;
- Raiffeisen International on the purchase by Raiffeisen International of Aval-Bank for $1.028bn;
- Raiffeisen International on the sale of JSCB Raiffeisenbank Ukraine to Hungarian OTP Bank for ?650m;
- Vetropack Group, Bülach, Switzerland, on the acquisition of 75 per cent plus one share in OJSC Gostomel Glass Factory, a glass packaging producer in the Kiev region, Ukraine;
- Warburg Pincus on the acquisition of a stake in International Mortgage Bank;
- acting for a large Ukrainian industrial group in relation to its exit for a number of complex joint venture arrangements with a second Ukrainian group including joint ventures in the manufacturing and shipping sectors (and the financing arrangements relating to the exit);
- advising an international investor in relation to its due diligence into Forumbank;
- advising the sellers on the sale of JSC Lisichanskaya Soda to Russian Soda Co.;
- an investor regarding the proposed acquisition of IndexBank, a privately owned bank in Ukraine;
- the selling shareholders of MTB on the US$137.4m sale of a 99.2 per cent interest in MTB to Marfin Popular Bank Public Co Ltd (MPB).
